Terms and Conditions
These Terms and Conditions govern your use of the Dirac Cloud website, platform and services.
Dirac Cloud is operated by Regulator Trading (Pty) Ltd, a company registered in South Africa.
By creating an account, placing an order or using Dirac Cloud services, you agree to these Terms and Conditions and any policies incorporated into them.
Services
Dirac Cloud provides virtual private server (VPS) infrastructure and related cloud services.
The resources, specifications, pricing and features applicable to each service are displayed when ordering.
Unless specifically stated otherwise, virtual CPU resources are shared and do not represent dedicated physical CPU cores.
We may make reasonable changes to our infrastructure, network or service configuration where necessary to maintain, secure, improve or expand the platform.
Accounts
You must provide accurate and current information and keep your account credentials secure.
You are responsible for activity performed through your account and for securing the operating systems, applications and services installed on your VPS.
You must notify us promptly if you suspect unauthorised access to your account.
Orders and Provisioning
Orders are subject to availability and acceptance by Dirac Cloud.
VPS services are generally provisioned automatically after successful payment.
Where you request immediate provisioning, you consent to the service commencing immediately.
We may reject or cancel an order where payment cannot be verified, information appears inaccurate or fraudulent, the order creates a security or operational risk, or providing the service would breach applicable law.
Fees and Payment
Services are generally billed in advance for the selected billing period.
Recurring services will continue to renew until cancelled.
You are responsible for ensuring that payments are made when due.
We may change our pricing by providing reasonable notice. Price changes will apply from a future billing period and will not retrospectively affect amounts already paid.
Non-Payment
If payment is overdue, we may suspend the affected service.
If payment remains outstanding, we may terminate the service and permanently delete the associated VPS and data, subject to applicable law.
Restoration of a suspended service is not guaranteed.
Cancellation and Refunds
You may cancel a service through your Dirac Cloud account or by contacting us.
Unless otherwise stated, cancellation will take effect at the end of the billing period already paid for.
Payments already made are generally non-refundable for voluntary cancellations, except where a refund or cancellation right is required by applicable law.
Any rights available to consumers under South African law remain unaffected.
Acceptable Use
Your use of Dirac Cloud services is subject to our Acceptable Use Policy, which forms part of these Terms and Conditions.
You must comply with the Acceptable Use Policy at all times.
We may restrict, suspend or terminate a service where the Acceptable Use Policy is breached, particularly where activity creates a security, legal or operational risk.
Security and Resource Usage
You are responsible for securing your VPS, including passwords, authentication, software updates, firewalls, access controls and applications.
Dirac Cloud manages the infrastructure under our control but does not administer or secure software inside your VPS unless expressly agreed otherwise.
You must not use CPU, storage, disk I/O, network or other shared resources in a manner that materially and persistently affects the performance or availability of services for other customers.
We may isolate, restrict or suspend a VPS where reasonably necessary to protect our infrastructure, network, customers or third parties.
IP Addresses
IP addresses assigned to your service remain under the control of Dirac Cloud or the relevant address holder.
Assignment of an IP address does not transfer ownership to you.
We may change an assigned IP address where reasonably necessary for technical, operational, security or regulatory reasons.
You may not sell, transfer, lease or announce an assigned IP address without our permission.
Customer Data and Backups
You retain ownership of the data stored on your VPS and are responsible for ensuring that you have the legal right to store and process it.
Unless your service expressly includes managed backups, you are responsible for maintaining your own backups.
Even where backup functionality is provided, you should maintain an independent copy of important or irreplaceable data.
Following cancellation or termination of a service, associated data may be permanently deleted.
99.9% Uptime Guarantee
Dirac Cloud provides a 99.9% monthly uptime guarantee for eligible VPS services.
Scheduled maintenance, emergency maintenance, customer configuration or actions, customer initiated shutdowns, suspension for non-payment or policy violations, failures outside our reasonable control and circumstances beyond our reasonable control are excluded when calculating uptime.
Where practical, we will provide reasonable notice of scheduled maintenance expected to materially affect service availability.
If an eligible service falls below 99.9% uptime during a calendar month, you may submit a claim to support@dirac.co.za.
Valid claims may qualify for a service credit in accordance with the applicable uptime or service credit policy.
Suspension and Termination
We may suspend, restrict or terminate a service where:
payment remains overdue;
you breach these Terms or our Acceptable Use Policy;
the service is used for unlawful or abusive activity;
the service creates a security or operational risk;
fraudulent activity is reasonably suspected; or
we are required to do so by law or a competent authority.
Where reasonably possible, we will provide an opportunity to correct a breach before termination.
Serious abuse, fraud, unlawful activity or urgent security incidents may result in immediate suspension.
Following termination, associated VPS instances and data may be permanently deleted.
Third-Party Services
Our services may depend on third-party datacentres, telecommunications providers, network providers, payment processors, software vendors and other service providers.
We are not responsible for the independent acts, omissions or failures of third parties outside our reasonable control.
Software or services that you install or use within your VPS may be subject to separate terms and licences.
Privacy
We process personal information in accordance with our Privacy Policy and applicable South African data protection law, including the Protection of Personal Information Act, 2013 (POPIA).
Where you process personal information using your VPS, you remain responsible for complying with your own obligations under applicable data protection law.
Limitation of Liability
This section limits the circumstances in which Dirac Cloud may be liable to you. Nothing in these Terms excludes or limits any right or liability that cannot lawfully be excluded or limited.
To the maximum extent permitted by law, Dirac Cloud will not be liable for indirect, incidental, special or consequential losses, including loss of profits, revenue, business opportunities or data.
To the maximum extent permitted by law, the aggregate liability of Regulator Trading (Pty) Ltd relating to an affected service will not exceed the fees paid for that service during the three months immediately preceding the event giving rise to the claim.
These limitations do not apply where they would be prohibited by applicable law.
Indemnity
This section may require you to compensate Dirac Cloud for certain third-party claims resulting from your use of the service.
To the extent permitted by law, you agree to indemnify Regulator Trading (Pty) Ltd against third-party claims, losses and reasonable costs arising directly from:
unlawful activity conducted through your service;
infringement of third-party rights;
your material breach of these Terms or our Acceptable Use Policy; or
your unlawful use of the service.
This does not apply to losses resulting from our own conduct where such an indemnity would not be permitted by law.
Changes to These Terms
We may update these Terms from time to time to reflect changes to our services, business practices or legal obligations.
Where changes are material, we will provide reasonable notice through our website, your account, email or another appropriate method.
Governing Law
These Terms are governed by the laws of the Republic of South Africa.
Any dispute will be subject to the jurisdiction of a court with competent jurisdiction in South Africa, subject to any rights available under applicable consumer protection legislation.
